LingoExpress Terms and Conditions

Welcome to LingoExpress. These Terms and Conditions ("Terms") govern your use of our website and services, including but not limited to translation, certified translation, notarized translation, and any related services offered by LingoExpress ("Services"). By accessing our website or using our Services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use our website or Services.

Title

1. Definitions

1.1 Customer refers to the party who accepts a Quotation from LingoExpress for the supply of the Specified Service or whose order for the Specified Service is accepted by LingoExpress in accordance with these Conditions.

1.2 Quotation refers to the quotation for the provision of the Specified Service or acceptance of an order to which these Conditions are appended.

1.3 Document refers to any material provided in writing, including films, negatives, tapes, or other devices embodying visual images or any other data provided by the Customer.

1.4 Source Material refers to any Document or other materials and any data or information provided by the Customer relating to the Specified Service.

1.5 Target Material refers to any Document or materials, and any data or information provided by LingoExpress relating to the Specified Service.

1.6 Specified Service refers to the service provided by LingoExpress to the Customer as outlined in the Quotation.

1.7 Supplier refers to LingoExpress.

1.8 Supplier’s Charges means the charges quoted by LingoExpress for the Specified Service, as set out in the Quotation. All charges are valid for 30 calendar days unless earlier accepted by the Customer, after which they may be revised.


2. Supply of Specified Service

2.1 LingoExpress agrees to provide the Specified Service subject to these Terms. Any changes to the Specified Service or these Terms must be agreed in writing by both LingoExpress and the Customer.

2.2 The Customer shall provide all necessary Documents, Source Material, and other data or information within a sufficient timeframe to enable LingoExpress to deliver the Specified Service as per the agreed timeline.

2.3 The Customer is responsible for retaining duplicate copies of all Source Material and insuring against its loss or damage. LingoExpress assumes no liability for any loss or damage of Source Material, howsoever caused.

2.4 LingoExpress may correct any typographical errors or omissions in the Quotation or other related documents without liability.

2.5 The Specified Service shall be provided in accordance with the Quotation and subject to these Terms.


3. Charges and Payment

3.1 The Customer shall pay LingoExpress's Charges as specified in the Quotation, along with any additional charges incurred due to changes, errors in the Source Material, or delays caused by the Customer.

3.2 Charges quoted do not include value-added tax (VAT), for which the Customer is additionally liable.

3.3 LingoExpress may invoice the Customer upon completion of the Specified Service or at any other agreed time.

3.4 The Customer must pay all invoices within 30 days of the invoice date.

3.5 Late payments will incur a 3% interest charge on the outstanding amount, calculated monthly, until payment is made in full.


4. Property and Confidentiality

4.1 The Customer retains ownership of all intellectual property rights in the Source Material. Upon full payment, ownership of the intellectual property rights in the Target Material transfers to the Customer.

4.2 Both parties agree to maintain confidentiality regarding any Source Material or Target Material designated as confidential by either party, except for information already in the public domain.

4.3 The Customer warrants that the Source Material provided does not infringe upon any third-party intellectual property rights. The Customer shall indemnify LingoExpress for any claims arising from such infringements.


5. Warranties and Liability

5.1 LingoExpress warrants that the Specified Service will be carried out with reasonable care, skill, and in accordance with the Quotation.

5.2 LingoExpress is not liable for any inaccuracies or issues caused by incomplete, incorrect, or illegible Source Material provided by the Customer.

5.3 Except as expressly provided in these Terms, LingoExpress is not liable for any indirect, special, or consequential losses, including but not limited to loss of profit. LingoExpress’s total liability is limited to the amount of the Supplier’s Charges for the relevant service.


6. Certified and Notarized Translations

6.1 Certified translations include a certification of accuracy but do not imply legal or regulatory approval unless explicitly confirmed in writing.

6.2 Notarized translations are verified by a Notary Public, but LingoExpress is not responsible for ensuring their acceptance by third parties, including courts, banks, or government agencies.

6.3 It is the Customer’s responsibility to verify whether certified or notarized translations meet the specific requirements of their intended use.

6.4 LingoExpress is not liable for any damages, losses, or claims arising from the use of certified or notarized translations.


7. Revisions and Complaints

7.1 The Customer has five (5) business days to review and request revisions after receiving the completed translation.

7.2 Any revisions requested due to errors in the translation will be addressed at no additional cost, provided they are submitted within the specified period.

7.3 Any revisions requested that change the original scope of work will be considered new work and charged accordingly.


8. Termination

8.1 Either party may terminate the agreement in writing if the other party commits a breach of these Terms.

8.2 If the Customer cancels the project after work has commenced, 50% of the total contract value is payable as a cancellation fee.


9. Indemnity

9.1 The Customer agrees to indemnify and hold LingoExpress harmless from any claims, liabilities, damages, or expenses arising from the misuse of the translation or breach of these Terms by the Customer.

9.2 LingoExpress is not liable for any claims arising from third-party misuse of the translated documents.


10. Force Majeure

10.1 LingoExpress will not be liable for any failure to meet its obligations due to circumstances beyond its reasonable control, including but not limited to acts of nature, strikes, terrorism, equipment failures, or other unforeseen events.


11. Governing Law and Dispute Resolution

11.1 These Terms are governed by the laws of Singapore.

11.2 Any disputes arising from these Terms or the provision of Services will be resolved through good faith negotiations. If no resolution is reached, disputes will be referred to arbitration in Singapore.


12. Amendments

12.1 LingoExpress reserves the right to amend these Terms at any time. Any changes will be effective immediately upon posting on our website. Clients are encouraged to review these Terms periodically.


13. Entire Agreement

13.1 These Terms and the Quotation constitute the entire agreement between LingoExpress and the Customer and supersede any prior agreements or understandings. Any amendments must be in writing and agreed to by both parties.
