Welcome to LingoExpress. These Terms and Conditions ("Terms") govern your use of our website and services, including but not limited to translation, certified translation, notarized translation, and any related services offered by LingoExpress ("Services"). By accessing our website or using our Services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use our website or Services.

Terms and Conditions

1. Definitions

1.1 Customer means the party who accepts a Quotation from LingoExpress for the supply of the Specified Service, or whose order for the Specified Service is accepted by LingoExpress in accordance with these Terms and Conditions.

1.2 LingoExpress means LingoExpress, the supplier of the Specified Service.

1.3 Supplier means LingoExpress.

1.4 Quotation means the quotation, estimate, proposal, order confirmation, or other written document issued by LingoExpress setting out the Specified Service, Supplier’s Charges, and any applicable terms relating to the work.

1.5 Document means any material provided in writing or electronically, including documents, files, images, films, negatives, tapes, recordings, devices, data, or other materials provided by the Customer.

1.6 Source Material means any Document, material, data, information, instruction, reference material, or other content provided by or on behalf of the Customer in connection with the Specified Service.

1.7 Target Material means any translated, edited, certified, notarised, formatted, or otherwise processed material produced by or on behalf of LingoExpress as part of the Specified Service.

1.8 Specified Service means the translation, interpretation, certification, notarisation coordination, editing, proofreading, formatting, transcription, localisation, or other language-related service provided by LingoExpress to the Customer as set out in the Quotation.

1.9 Supplier’s Charges means the charges quoted by LingoExpress for the Specified Service, as set out in the Quotation.

1.10 Business Day means any day other than a Sunday or public holiday in Singapore.

1.11 Terms and Conditions means these terms and conditions, as amended from time to time in accordance with Clause 14.

1.12 Unless otherwise stated in the Quotation, all Supplier’s Charges are valid for seven (7) calendar days from the date of the Quotation, after which LingoExpress may revise or withdraw the Quotation without liability.


2. Acceptance and Supply of Specified Service

2.1 These Terms and Conditions apply to all quotations, orders, and services provided by LingoExpress to the Customer.

2.2 The Customer shall be deemed to have accepted these Terms and Conditions upon the earlier of:

(a) accepting a Quotation verbally, in writing, by email, or by any other communication method;

(b) making payment or partial payment;

(c) providing Source Material to LingoExpress for the purpose of commencing work; or

(d) instructing LingoExpress to proceed with the Specified Service.

2.3 LingoExpress agrees to provide the Specified Service substantially in accordance with the Quotation, subject to these Terms and Conditions.

2.4 Any change to the Specified Service, delivery timeline, Source Material, instructions, format, certification requirement, notarisation requirement, or other project requirement may result in additional charges and revised timelines.

2.5 LingoExpress is not obliged to commence, continue, or deliver any work until all required Source Material, instructions, confirmations, deposits, and payments requested by LingoExpress have been received.

2.6 The Customer shall provide all Documents, Source Material, instructions, references, and information required by LingoExpress within a sufficient timeframe to enable LingoExpress to perform the Specified Service.

2.7 Any delivery date or timeline provided by LingoExpress is an estimate only unless expressly confirmed by LingoExpress in writing as a guaranteed deadline. LingoExpress shall not be liable for any delay caused by the Customer, third parties, unclear instructions, incomplete Source Material, technical issues, force majeure events, or circumstances beyond LingoExpress’ reasonable control.

2.8 LingoExpress may correct any typographical, clerical, pricing, or administrative error or omission in any Quotation, invoice, communication, or related document without liability.

2.9 LingoExpress may engage employees, contractors, translators, editors, interpreters, notaries, agents, professional advisers, or other third-party service providers to perform or assist with the Specified Service.


3. Customer Responsibilities

3.1 The Customer is responsible for ensuring that all Source Material provided to LingoExpress is complete, accurate, legible, lawful, and suitable for the intended purpose.

3.2 The Customer is responsible for providing clear instructions regarding the intended use, target country, target institution, required format, certification requirement, notarisation requirement, deadline, terminology preference, spelling preference, style preference, and any special requirements.

3.3 LingoExpress shall not be liable for any error, omission, delay, rejection, or additional cost arising from incomplete, inaccurate, unclear, illegible, corrupted, late, or misleading Source Material or instructions provided by the Customer.

3.4 The Customer shall retain duplicate copies of all Source Material. LingoExpress shall not be liable for loss, corruption, deletion, or damage to Source Material, howsoever caused.

3.5 The Customer warrants that it has all necessary rights, permissions, licences, consents, and authority to provide the Source Material to LingoExpress and to instruct LingoExpress to perform the Specified Service.


4. Charges and Payment

4.1 The Customer shall pay the Supplier’s Charges as specified in the Quotation, together with any additional charges incurred due to changes in scope, urgent requests, formatting requirements, certification requirements, notarisation requirements, unclear or inaccurate Source Material, additional words, additional pages, repeated revisions, Customer delays, or other work not included in the original Quotation.

4.2 Unless otherwise stated, all Supplier’s Charges are exclusive of Goods and Services Tax (“GST”), if applicable. Where LingoExpress is required to charge GST, GST shall be added at the prevailing rate.

4.3 LingoExpress may require full payment, partial payment, or a deposit before commencing work.

4.4 LingoExpress may invoice the Customer upon acceptance of the Quotation, before commencement of work, upon completion of the Specified Service, upon delivery, or at any other time agreed by LingoExpress.

4.5 The Customer shall pay all invoices within three (3) calendar days from the invoice date, unless otherwise agreed in writing by LingoExpress.

4.6 LingoExpress may withhold commencement, suspend work, withhold delivery of Target Material, withhold certification, withhold notarisation arrangements, or refuse further revisions if any payment remains outstanding.

4.7 Late payments shall incur interest at the rate of three percent (3%) per month on the outstanding amount, calculated from the due date until payment is received in full, or the maximum rate permitted by applicable law, whichever is lower.

4.8 The Customer shall reimburse LingoExpress for all costs and expenses reasonably incurred in recovering overdue amounts, including administrative costs, debt collection costs, legal fees, and disbursements.

4.9 All payments made are non-refundable unless otherwise agreed in writing by LingoExpress.


5. Intellectual Property, Ownership, and Use

5.1 The Customer retains ownership of any intellectual property rights it owns in the Source Material.

5.2 Subject to full and cleared payment of all Supplier’s Charges and any other amounts due to LingoExpress, ownership of the intellectual property rights in the final Target Material produced specifically for the Customer shall transfer to the Customer.

5.3 Until full payment has been received, all rights, title, and interest in the Target Material shall remain with LingoExpress, and the Customer shall not use, reproduce, publish, submit, distribute, or rely on the Target Material without LingoExpress’ prior written consent.

5.4 LingoExpress retains all rights, title, and interest in its pre-existing materials, know-how, workflows, templates, glossaries, style guides, translation memories, terminology databases, software, systems, processes, methods, and other tools used or developed in the course of providing the Specified Service.

5.5 Unless otherwise agreed in writing, LingoExpress may retain copies of the Source Material and Target Material for internal records, quality assurance, legal compliance, accounting, dispute handling, and business administration purposes.


6. Confidentiality and Personal Data

6.1 LingoExpress shall take reasonable steps to keep confidential all non-public Source Material and Target Material received or produced in connection with the Specified Service.

6.2 LingoExpress may disclose Source Material, Target Material, or related information to its employees, contractors, translators, editors, interpreters, notaries, agents, service providers, professional advisers, or other third parties where such disclosure is reasonably necessary for the provision of the Specified Service or for LingoExpress’ business, legal, accounting, or compliance purposes.

6.3 Confidentiality obligations shall not apply to information that:

(a) is or becomes publicly available other than through LingoExpress’ breach of these Terms and Conditions;

(b) was already known to LingoExpress before disclosure by the Customer;

(c) is lawfully received from a third party;

(d) is independently developed by LingoExpress without use of the Customer’s confidential information; or

(e) is required to be disclosed by law, regulation, court order, government authority, notary, bank, embassy, agency, or other competent authority.

6.4 Where the Source Material contains personal data, the Customer warrants that it has obtained all necessary consents, authorisations, and permissions for LingoExpress to collect, use, process, store, disclose, transfer, and otherwise handle such personal data for the purpose of providing the Specified Service and administering the Customer relationship.

6.5 LingoExpress shall not be liable for any claim, loss, penalty, or damage arising from the Customer’s failure to obtain any required consent or authority in relation to personal data provided to LingoExpress.


7. Warranties and Liability

7.1 LingoExpress warrants that the Specified Service will be carried out with reasonable care and skill.

7.2 Except as expressly stated in these Terms and Conditions, all warranties, representations, conditions, or terms, whether express or implied, are excluded to the fullest extent permitted by law.

7.3 LingoExpress does not warrant that the Target Material will be accepted by any court, government agency, embassy, bank, academic institution, employer, regulator, immigration authority, professional body, or other third party unless LingoExpress expressly confirms such acceptance guarantee in writing.

7.4 LingoExpress shall not be liable for any inaccuracy, error, omission, delay, rejection, or loss arising from:

(a) incomplete, incorrect, unclear, illegible, corrupted, or misleading Source Material;

(b) incorrect or incomplete instructions from the Customer;

(c) changes requested by the Customer after work has commenced;

(d) terminology, style, spelling, formatting, or preference issues not clearly specified by the Customer before commencement;

(e) third-party requirements not disclosed to LingoExpress before commencement;

(f) use of the Target Material for a purpose not disclosed to LingoExpress; or

(g) modifications made to the Target Material by any person other than LingoExpress.

7.5 To the fullest extent permitted by law, LingoExpress shall not be liable for any indirect, incidental, special, consequential, punitive, or economic loss, including loss of profit, revenue, business, opportunity, goodwill, anticipated savings, data, contracts, or reputation.

7.6 To the fullest extent permitted by law, LingoExpress’ total aggregate liability arising out of or in connection with the Specified Service, whether in contract, tort, negligence, breach of statutory duty, or otherwise, shall not exceed the Supplier’s Charges paid or payable for the relevant Specified Service.

7.7 Nothing in these Terms and Conditions shall exclude or limit any liability that cannot be excluded or limited under applicable law.


8. Certified and Notarised Translations

8.1 Certified translations provided by LingoExpress include a certification of accuracy based on the Source Material provided by the Customer.

8.2 Certification by LingoExpress does not constitute legal, regulatory, governmental, institutional, or official approval unless expressly confirmed in writing by LingoExpress.

8.3 Notarised translations involve verification or witnessing by a Notary Public or other relevant third party. LingoExpress may assist with arranging notarisation but is not responsible for the acts, omissions, availability, requirements, charges, or decisions of any Notary Public or third party.

8.4 LingoExpress does not guarantee that certified, notarised, or translated documents will be accepted by any court, government agency, embassy, bank, academic institution, employer, regulator, immigration authority, professional body, or other third party.

8.5 The Customer is solely responsible for verifying the exact certification, notarisation, formatting, language, submission, and acceptance requirements of the intended recipient before placing an order.

8.6 LingoExpress shall not be liable for any rejection, delay, loss, damage, penalty, missed deadline, or claim arising from the Customer’s failure to verify or communicate the requirements of the intended recipient.


9. Revisions, Review, and Complaints

9.1 The Customer shall review the Target Material promptly upon delivery.

9.2 Any request for correction or revision must be submitted in writing within five (5) Business Days after delivery of the Target Material.

9.3 If no written revision request is received within five (5) Business Days after delivery, the Target Material shall be deemed accepted by the Customer.

9.4 LingoExpress may, at its sole discretion, correct objective translation errors at no additional cost if such errors are reported within the review period stated in Clause 9.2.

9.5 Free revisions do not include changes arising from:

(a) changes to the Source Material;

(b) changes to Customer instructions;

(c) stylistic preferences not provided before commencement;

(d) terminology preferences not provided before commencement;

(e) formatting requests not included in the original Quotation;

(f) third-party comments or requirements not disclosed before commencement;

(g) additions, deletions, or amendments to the original scope of work; or

(h) requests submitted after the review period.

9.6 Any revision outside the original scope of work may be treated as new work and charged accordingly.

9.7 LingoExpress shall have the sole right to determine whether a requested revision is due to an objective error or constitutes additional work.


10. Cancellation and Termination

10.1 LingoExpress may terminate, suspend, or decline to continue the Specified Service immediately by written notice if:

(a) the Customer fails to make payment when due;

(b) the Customer fails to provide required Source Material, instructions, or cooperation;

(c) the Customer breaches these Terms and Conditions;

(d) the Customer requests work that is unlawful, offensive, misleading, fraudulent, or inappropriate;

(e) LingoExpress reasonably believes that continuing the work may expose it to legal, regulatory, financial, reputational, or operational risk; or

(f) circumstances beyond LingoExpress’ reasonable control prevent or delay performance.

10.2 The Customer may cancel the Specified Service only by giving written notice to LingoExpress.

10.3 If the Customer cancels the Specified Service after acceptance of the Quotation or after work has commenced, the Customer shall pay, at LingoExpress’ discretion:

(a) all work completed up to the date of cancellation;

(b) all work scheduled, reserved, or allocated;

(c) all third-party, certification, notarisation, administrative, and out-of-pocket costs incurred or committed; and

(d) a cancellation fee of at least fifty percent (50%) of the total contract value.

10.4 If the work has been substantially completed or delivered at the time of cancellation, LingoExpress may charge the full Supplier’s Charges.

10.5 Any deposit, prepayment, or partial payment made by the Customer shall be non-refundable and may be applied by LingoExpress towards any amount payable under these Terms and Conditions.


11. Indemnity

11.1 The Customer shall indemnify and hold harmless LingoExpress, its directors, employees, contractors, agents, translators, editors, interpreters, notaries, and service providers from and against all claims, liabilities, losses, damages, costs, and expenses arising out of or in connection with:

(a) the Customer’s breach of these Terms and Conditions;

(b) the Customer’s misuse of the Target Material;

(c) the Customer’s unlawful, misleading, or unauthorised use of the Source Material or Target Material;

(d) any claim that the Source Material infringes third-party rights;

(e) any claim relating to personal data provided by the Customer;

(f) any inaccurate, incomplete, unclear, unlawful, or misleading Source Material or instruction; or

(g) any modification, submission, publication, or use of the Target Material by the Customer or any third party.

11.2 LingoExpress shall not be liable for any claim arising from third-party misuse, alteration, rejection, or interpretation of the Target Material.


12. Force Majeure

12.1 LingoExpress shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of God, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, strikes, labour disputes, power failures, internet failures, equipment failures, cyber incidents, software failures, supplier failures, transport disruption, government action, changes in law, illness, or unavailability of personnel, translators, notaries, or third-party service providers.

12.2 In such circumstances, LingoExpress may extend the delivery timeline, suspend performance, or terminate the affected Specified Service without liability.


13. Governing Law and Dispute Resolution

13.1 These Terms and Conditions, the Quotation, and any dispute arising out of or in connection with the Specified Service shall be governed by and construed in accordance with the laws of Singapore.

13.2 The parties shall first attempt to resolve any dispute through good faith negotiations.

13.3 If the dispute is not resolved through negotiations, the dispute shall be referred to and finally resolved by arbitration in Singapore. The seat of arbitration shall be Singapore, the language of arbitration shall be English, and the tribunal shall consist of one arbitrator.

13.4 Nothing in this Clause shall prevent LingoExpress from commencing legal proceedings to recover unpaid fees, protect its intellectual property rights, enforce confidentiality obligations, or seek urgent injunctive or equitable relief.


14. Amendments

14.1 LingoExpress may amend these Terms and Conditions from time to time by posting the revised version on its website or otherwise giving notice to the Customer.

14.2 Unless otherwise stated, revised Terms and Conditions shall apply to quotations, orders, and services accepted after the date of posting or notice.

14.3 Any amendment to an accepted Quotation or ongoing Specified Service shall be effective only if agreed in writing by LingoExpress, or where the amendment is necessary to comply with applicable law, regulatory requirements, operational requirements, or changes in third-party requirements.


15. Entire Agreement

15.1 These Terms and Conditions, together with the applicable Quotation, constitute the entire agreement between LingoExpress and the Customer in relation to the Specified Service and supersede all prior discussions, representations, understandings, agreements, or communications.

15.2 In the event of any inconsistency between these Terms and Conditions and the Quotation, the Quotation shall prevail only to the extent of the inconsistency.

15.3 No failure or delay by LingoExpress in exercising any right or remedy shall constitute a waiver of that right or remedy.

15.4 If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15.5 The Customer shall not assign, transfer, or subcontract any of its rights or obligations under these Terms and Conditions without LingoExpress’ prior written consent. LingoExpress may assign, transfer, or subcontract any of its rights or obligations without the Customer’s consent.
